These Terms of Use ("Terms") govern your access to and use of puroplate.com and any related applications (collectively, the "Platform"), operated by PuroPlate, Inc., a Delaware corporation ("PuroPlate," "we," "us," or "our"). The Platform currently allows visitors to join a waitlist as prospective Consumers and to submit a supplier interest form as prospective Suppliers. The Platform will, in the future, operate as a marketplace allowing Consumers to discover and purchase food products from independent Suppliers, with personalized guidance generated through our proprietary scoring methodology, PuroScore. These Terms apply to all visitors, Consumers, and Suppliers, at every stage described above. By using the Platform, joining the waitlist, submitting the supplier interest form, creating an account, placing an order, or listing products, you agree to these Terms.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform, including to join the waitlist, submit the supplier interest form, or create an account. By using the Platform, you represent that you meet this requirement and, if submitting information on behalf of a business, that you are authorized to do so.
Consumers may currently join a waitlist by providing their name and email address. Joining the waitlist does not create any account, subscription, or purchase, and does not generate PuroScore results.
Prospective Suppliers may currently submit an interest form providing company and contact information, including company name, contact details, product category, and website URL. Submitting this form is an expression of interest only. It does not create a binding supplier agreement, partnership, exclusivity, or any obligation on the part of either party, and does not guarantee that PuroPlate will accept your business as a Supplier or include you in any particular outreach program or cohort PuroPlate may offer from time to time. PuroPlate reviews applications personally and may, in its sole discretion, accept, decline, waitlist, or limit participation in any such program for any lawful reason. If PuroPlate decides to move forward with your business, the separate Supplier Terms & Conditions described in Section 11 will govern your onboarding and ongoing relationship with PuroPlate.
You agree that information you submit through the waitlist or the supplier interest form is accurate and not misleading, and you authorize PuroPlate to contact you using that information about your submission, any relevant program, and PuroPlate's launch and updates.
The sections below describe functionality PuroPlate intends to offer in the future as part of its full marketplace. They will take effect, and become binding with respect to the relevant activity, once that functionality is available on the Platform.
PuroPlate will operate a marketplace connecting Consumers and Suppliers. Except as expressly stated, PuroPlate will not be the manufacturer, seller of record, or guarantor of products listed by Suppliers. Each product listing, including ingredient and allergen information, will be created and maintained by the Supplier, who will be solely responsible for its accuracy.

PuroScore will be a per-product, per-allergen score PuroPlate generates from allergen and ingredient information provided by Suppliers about their products, independent of any individual Consumer. PuroScore will be compared against the ingredients or ingredient categories you indicate you want to avoid — for any reason, including allergy, sensitivity, dietary, religious, ethical, or other personal reasons — and the severity level you assign to each (severe, moderate, or low), to generate a personalized recommendation. PuroScore and the personalized recommendation derived from it are intended as a tool to help inform your decisions. They are not medical advice, and not a guarantee.
When you create a Consumer account, you will be able to indicate ingredients or ingredient categories you want to avoid — whether for allergy, sensitivity, dietary, religious, ethical, or other personal reasons — and assign each one a severity level (severe, moderate, or low) to enable PuroScore. You will be responsible for keeping this information current; PuroPlate will not be responsible for outcomes resulting from outdated or inaccurate avoidance information you provide.
When you place an order, you will authorize PuroPlate and our payment processor to charge your selected payment method for the order total, including applicable taxes, delivery fees, and service fees disclosed at checkout.
To list products on the Platform, a Supplier will need to complete onboarding and be accepted by PuroPlate in its discretion, and will be required to accept the separate Supplier Terms & Conditions described in Section 11. By creating a Supplier account and listing products, a Supplier will represent and warrant that all ingredient lists, allergen statements, and certifications submitted are accurate and current, and will agree to promptly update listings if a product's formulation, ingredients, or allergen profile changes.
Consumer payments will be processed by a third-party payment processor. By placing an order, you will agree to that processor's terms of service in addition to these Terms. Supplier payouts will be processed through that processor's marketplace payment product, as described in the Supplier Terms & Conditions.
Orders may be fulfilled by one or more Suppliers and delivered via PuroPlate's delivery partners. Delivery times and costs will be estimates and may vary. Title and risk of loss for a product will pass to the Consumer upon delivery, except as otherwise required by law.
You may cancel an order before it has been fulfilled by the Supplier by contacting us or using the cancellation option in your account, if available.
Unopened, Unused Items. If you are not satisfied with a product you purchased, you may return it within twenty-one (21) days of delivery, provided it is unopened, unused, and in its original packaging. You are responsible for the cost of return shipping for this type of return, unless the return is due to a problem described below. Once we receive and inspect the returned item, we will issue a refund to your original payment method, less the cost of any return shipping label we provide on your behalf, if applicable.
Damaged, Incorrect, or Undelivered Orders. If your order arrives damaged, spoiled, spilled, incorrect, or otherwise unusable, or does not arrive at all, you may request a refund or replacement within twenty-one (21) days of the delivery date (or expected delivery date, if the order never arrived) by contacting us using the information in Section 15. We will not require you to ship the product back to us or to the Supplier in order to receive a refund or replacement in these circumstances, and you will not be charged for return shipping. We may, in our discretion, offer a refund, a replacement, or account credit, and may request photos or other reasonable documentation of the issue before processing your request.
Items that have been opened, used, or are not in resalable condition for sanitary or food-safety reasons are not eligible for the unopened-item return described above, but remain eligible for a refund or replacement under the Damaged, Incorrect, or Undelivered Orders paragraph if applicable.
If the Platform allows Consumers to submit reviews, ratings, or other content, you will grant PuroPlate a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating and promoting the Platform. You agree not to submit content that is false, defamatory, or that misrepresents a product's safety for allergy purposes.
If PuroPlate offers a paid subscription tier, your subscription will be governed by the separate Subscription Terms, which will be incorporated into and supplement these Terms.
The Platform and its content, including text, graphics, logos, and the PuroPlate and PuroScore names and marks, are owned by PuroPlate or its licensors and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Platform without our prior written consent. Suppliers retain ownership of their own brand names, logos, and product content, and, once listings exist, grant PuroPlate a license to display such content in connection with operating the Platform.

The Platform may contain links to third-party websites or services that are not owned or controlled by PuroPlate. We are not responsible for the content, privacy practices, or terms of any third-party sites.
PuroPlate may suspend or terminate your access to the Platform if you violate these Terms, provide materially false safety-related information, or engage in conduct that creates risk to Consumers, Suppliers, or the Platform.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PUROPLATE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, AND, ONCE PRODUCT LISTINGS EXIST, DOES NOT WARRANT THAT ANY PRODUCT LISTED ON THE PLATFORM IS SAFE FOR ANY PARTICULAR PERSON.
TO THE FULLEST EXTENT PERMITTED BY LAW, PUROPLATE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING ANY DAMAGES RELATED TO ALLERGIC REACTIONS OR ADVERSE HEALTH EVENTS, EXCEPT WHERE SUCH LIMITATION IS NOT PERMITTED BY LAW. PUROPLATE'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE PLATFORM WILL NOT EXCEED the greater of (a) the amount you paid PuroPlate in the twelve months preceding the claim or (b) $100.
You agree to indemnify and hold harmless PuroPlate from claims, damages, and expenses arising from your breach of these Terms, your products (if you are a Supplier), or your misuse of the Platform. Supplier indemnification obligations are addressed in greater detail in the Supplier Terms & Conditions.
These Terms work together with the following documents, which are incorporated by reference where applicable to your use of the Platform:
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
Except for disputes that qualify for small claims court, or for claims involving actual or threatened infringement of intellectual property rights, you and PuroPlate agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform will be resolved through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court. The arbitration will be administered by the American Arbitration Association (AAA) under its rules then in effect, and will take place in a mutually agreed location, or may be conducted remotely or by submission of documents, to the extent permitted by the arbitration provider's rules.
YOU AND PUROPLATE EACH AGREE THAT ANY ARBITRATION OR PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You and PuroPlate waive any right to participate in a class action lawsuit or class-wide arbitration. If this class-action waiver is found unenforceable as to a particular claim or dispute, that claim or dispute will be decided by a court, and the remainder of this arbitration agreement will remain in effect for all other claims and disputes.
You may opt out of this arbitration agreement by sending written notice to the address in Section 15 within thirty (30) days of first accepting these Terms; if you opt out, disputes will instead be resolved in the courts identified in Section 13.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except where applicable consumer protection law requires otherwise.
We may update these Terms from time to time, including as new functionality becomes available. We will post the updated Terms with a new Effective Date, and material changes will be communicated to registered users where required by law.
